Prohibited Activities

• Violate any applicable federal, state, local, or international laws or regulations
• Infringe upon or violate our intellectual property rights or the rights of others
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• Submit false, inaccurate, or misleading information
• Upload or transmit viruses, malware, or other malicious code
• Spam, solicit, or contact users for commercial purposes without consent
• Engage in any automated use of the system or data mining activities
• Attempt to impersonate another user, person, or entity
• Use our Services for competitive intelligence or benchmarking purposes

Technical Restrictions

• Attempt to gain unauthorized access to our systems, networks, or data
• Interfere with, disrupt, or create an undue burden on our Services
• Reverse engineer, decompile, or attempt to extract source code
• Circumvent any security measures or access controls
• Use automated scripts, bots, or crawlers without explicit permission

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use our Services for their intended purpose
• Download and print materials for your internal business use only
• Use our APIs in accordance with our API documentation and guidelines

License Restrictions

This license does not include any right to:

• Resell, distribute, publicly display, or create derivative works
• Use our Content for commercial purposes outside of your licensed use
• Remove or alter any copyright, trademark, or other proprietary notices
• Access or use our Services for competitive analysis or product development

User-Generated Content

You retain ownership of any content you submit, upload, or create using our Services. However, by submitting content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute such content solely for the purpose of providing and improving our Services.

Subscription Services

Our paid Services are offered on a subscription basis with the following terms:

• Subscription fees are charged in advance on a monthly or annual basis
• All fees are stated in Canadian dollars unless otherwise specified
• Payment is due immediately upon subscription activation
• Subscriptions automatically renew unless cancelled before the renewal date
• We accept major credit cards, bank transfers, and approved payment methods

Fee Changes and Refunds

• We may change our fees with 30 days' advance notice to existing subscribers
• All fees are generally non-refundable except as required by applicable law
• Refunds for annual subscriptions may be prorated in certain circumstances

Suspension for Non-Payment

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or completely secure
• Warranties regarding the accuracy, reliability, or completeness of content or results
• Warranties that defects will be corrected or that the Services will meet your requirements

Limitation of Liability

To the maximum extent permitted by applicable law, MindFlow AI and its officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Business interruption or loss of business goodwill
• Cost of substitute goods or services
• Personal injury or property damage

Our total liability for all claims arising from or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Termination by You

You may terminate your account and discontinue use of our Services at any time by contacting our customer support team or using the account termination features in your account settings. Upon termination, your right to access and use the Services will cease immediately.

Termination by Us

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms or our policies
• Non-payment of fees when due
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Business reasons or discontinuation of Services

Effect of Termination

Upon termination, all rights and licenses granted to you will immediately cease, and you must discontinue all use of our Services. We may delete your account and all associated data, though we may retain certain information as required by law or for legitimate business purposes. Provisions of these Terms that by their nature should survive termination will remain in effect.

Governing Law

These Terms and any disputes arising from or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Jurisdiction

Any legal action or proceeding arising from or relating to these Terms or the Services shall be brought exclusively in the courts of Toronto, Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to venue.

Alternative Dispute Resolution

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration under the rules of the ADR Institute of Canada.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and us concerning the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms and our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
